Terms of Service

These Terms of Service (“Terms”) apply to your use of hereforads.com and all related services (together, “HereForAds”). HereForAds is operated by 7Smiles group,a treading name of a sole trader based in the United Kingdom (“we”, “us”, “our”). Please read them carefully. By creating an account, publishing a listing, or placing an order, you agree to these Terms. Our Privacy Policy explains how we use your personal data. If you don’t agree, please don’t use HereForAds.

In these Terms, a “Seller” (or creator/publisher) is a user who offers advertising or sponsorship services through a listing, and a “Buyer” (or brand/advertiser) is a user who books and pays for one. An “Order” is a booking of a listing paid for through HereForAds checkout.

1. Who can use HereForAds

You must be at least 18 years old and able to enter into a legally binding contract. HereForAds is not intended for children.
If you use HereForAds on behalf of a business, you confirm that you are authorised to bind that business to these Terms, and “you” includes that business.
You must give accurate information, keep it up to date, and keep your login details secure. You are responsible for activity on your account. Tell us straight away if you think your account has been compromised. We recommend turning on two-factor authentication.
You must not use HereForAds if you are subject to UK, EU, UN or US sanctions, or if doing so would break the law where you are.
You may only have one account unless we agree otherwise, and you must not create a new account after we have suspended or banned you.

2. Our role

HereForAds is an online marketplace that lets Sellers publish sponsorship pages and listings, and lets Buyers book and pay for them. The contract for an advertising or sponsorship service is made directly between the Buyer and the Seller. We are not a party to that contract, we don’t create or publish the ads ourselves, and we are not the Seller’s employer, agent for delivery, or partner.

For payments, the Seller appoints us as its limited agent to collect payment from the Buyer on the Seller’s behalf. Once a Buyer has paid in full through HereForAds checkout, the Buyer’s payment obligation to the Seller for that Order is treated as fulfilled, even if we haven’t yet paid the Seller. Card payments are processed by Stripe, a third-party payment provider, and Sellers receive payouts through a Stripe connected account (see section 6).

We don’t pre-screen listings and we can’t verify everything users tell us. Publishing a listing on HereForAds doesn’t mean we endorse it, the Seller, or any claims about audience size or results.

3. Seller obligations

When you publish a listing or profile, you confirm and agree that:

you own the social media accounts, websites or other spaces you list, or you have explicit permission to sell advertising on them;
everything in your listing and profile is accurate and not misleading, including follower counts, audience data and statistics, which you must keep reasonably up to date. Any reach or view figures are estimates, not guarantees, unless you clearly say otherwise;
you will deliver what your listing describes, on the dates and in the way agreed with the Buyer, and keep the ad live for the period you advertised;
your content is original or properly licensed and does not infringe anyone’s copyright, trade mark, privacy or other rights;
you will clearly label paid content as advertising (for example “#ad”) as required by law, advertising codes (such as the UK CAP Code and CMA guidance, or the US FTC Endorsement Guides) and the rules of the platform where the ad appears;
you are responsible for complying with the terms of any third-party platform you use (for example Instagram, TikTok or YouTube). We are not responsible if a platform removes your content, restricts your account or changes its rules or algorithms;
if you act as a business, you are responsible for complying with consumer protection law towards Buyers who are consumers, including providing the information and cancellation rights described in section 8;
you are solely responsible for your own taxes (including income tax and any VAT or sales tax on your services) and for any invoices your Buyers ask for.

The Seller is solely responsible for any legal claim — including copyright, trade mark, advertising-standards or fraud claims — arising from a false, unauthorised or infringing listing or from the Seller’s content.

Sellers may decline an Order (for example if the Buyer’s product is unsuitable for their audience). A declined Order is refunded to the Buyer in full.

4. Buyer obligations

You are responsible for the products, services, claims and materials (logos, scripts, links, images) you ask a Seller to promote. They must be lawful, accurate, and not infringe anyone’s rights, and you must hold any licences needed for the Seller to use them.
You must not ask a Seller to hide that content is advertising, make claims you can’t substantiate, or break the rules of the platform where the ad will appear.
If you choose to show your brand on a listing after purchase, you give us and the Seller permission to display your brand name and link publicly on that listing and its calendar. The Seller or we may hide it at any time.
Results are not guaranteed. Views, clicks, sales and engagement depend on many factors outside the Seller’s and our control.

5. Prohibited content and conduct

You must not use HereForAds to list, promote, buy or arrange:

anything illegal, or advertising that is unlawful where it will be shown;
weapons, drugs (including unlicensed medicines and drug paraphernalia), tobacco or vaping products, or adult or sexual content;
gambling, financial products, investment schemes or cryptoassets, unless the advertiser holds the authorisations required by law and the ad complies with the relevant rules;
counterfeit goods, pyramid or “get rich quick” schemes, or misleading health claims;
hate speech, harassment, threats, or content that exploits or targets children;
fake engagement, such as buying or selling followers, likes or reviews.

You also must not: impersonate anyone; post false or misleading information; spam other users; scrape or copy the site; interfere with its security or use bots to access it; upload malware; or use HereForAds to commit fraud or money laundering, including paying for a listing with a card that isn’t yours.

6. Prices, fees, payment and payouts

Prices

Prices are set by Sellers and shown in the listing’s currency. Buyers pay the listed price at checkout and are not charged a separate HereForAds fee. Your card issuer may charge currency conversion or foreign transaction fees. For date-based bookings, dates are in UK time, and unpaid bookings are held for a short time only.

Prices include any tax the Seller is required to charge. Sellers are responsible for deciding whether their prices must include VAT or other taxes.

Fees for Sellers

For each completed Order, we deduct the following from the Seller’s payout:

Service fee: 12% of the order amount;
Payment processing fee: 4% of the order amount plus £0.20 (or the equivalent fixed amount shown at listing time for other currencies).

The amount you will receive is shown when you create your listing. We may change our fees by giving at least 30 days’ notice. New fees will not apply to Orders that have already been paid.

How payment works (“escrow”)

HereForAds uses Stripe Connect to process payments between Buyers and Sellers

Buyer payment
The Buyer pays the full Order price at checkout. Payments are processed by Stripe and credited to the HereForAds Stripe platform balance.
Seller delivery
The Seller completes the advertising service and marks the Order as delivered, providing a link or other reasonable proof of delivery. The Seller must complete Stripe's required onboarding and identity verification before receiving payouts.
Buyer confirmation
The Buyer may confirm the Order at any time after delivery is marked. If the Buyer does not raise a problem within 3 days, the Order is automatically treated as confirmed.
Seller payout
Once an Order is confirmed, the Seller's share becomes eligible for payout. HereForAds normally processes Seller transfers weekly through Stripe Connect. Stripe then pays the Seller according to the Seller's applicable payout schedule.

HereForAds does not independently verify the quality, performance or effectiveness of an advertisement before releasing the Seller's share. Buyers should review the delivered advertising service during the confirmation period and raise any problem promptly.

Payout reviews and holds

To protect users against fraud and chargebacks, we may hold a payout for manual review, for example for a Seller’s first Orders, for higher-value Orders, when a payment is disputed, or when we suspect a breach of these Terms. We will release or refund held funds once the review is complete. We may refuse or reverse a payout, and recover amounts from a Seller (including by deducting them from future payouts or by reversing a transfer), if an Order is refunded, charged back or found to be fraudulent, or if the Seller breached these Terms.

Stripe

Sellers must accept the Stripe Connected Account Agreement, which includes the Stripe Services Agreement, and must give Stripe accurate information. Payouts are only available in countries supported for our platform by Stripe (currently the UK, the European Economic Area, the United States, Canada and Switzerland). If a Seller can’t complete onboarding, Orders may be refunded to the Buyer. We are not responsible for delays or decisions made by Stripe or by banks.

Tax reporting

We may be legally required to collect information about Sellers and their earnings and report it to HM Revenue & Customs or other tax authorities (for example under the UK Reporting Rules for Digital Platforms). Sellers agree to provide this information when asked. We may withhold payouts until it is provided.

7. Staying on the platform

Payment holding, payout reviews, refunds and any help we give with problems only apply to Orders paid through HereForAds checkout. If you agree to pay or be paid outside HereForAds, that deal is entirely at your own risk. We are not involved and we won’t help with it. Asking another user to pay outside HereForAds to avoid our fees is a breach of these Terms. Be very cautious of anyone who asks you to pay by bank transfer, gift card or crypto. This is a common scam.

8. Cancellations and refunds

Free cancellation

Within 24 hours of payment, and as long as the Order has not yet been marked delivered, either the Buyer or the Seller can cancel the Order on HereForAds without the other’s agreement. The Buyer gets a full refund.

Consumers’ 14-day right to cancel

If you are a Buyer acting as a consumer (for purposes outside your trade, business or profession) and the Seller is acting as a trader, you may have a legal right to cancel within 14 days of your Order under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 or equivalent law where you live. At checkout you ask the Seller to start work immediately and confirm that:

you lose your right to cancel once the service has been fully performed (for example, once the ad has been published); and
if you cancel after work has started but before it is complete, you must pay for the work already done.

To cancel, use the cancel option on your order page if it is available, or contact the Seller and us using the contact form. Most Buyers on HereForAds are businesses. Businesses do not have this statutory right.

Other cancellations and refunds

Outside the cases above, cancellations and refunds are a matter between the Buyer and Seller, under the Seller’s listing terms and the law. If you can’t agree, contact us. We may, but are not obliged to, review the evidence and decide whether held funds should be released to the Seller or refunded to the Buyer (in whole or in part). Our decision on held funds is an administrative decision. It does not limit any legal rights either of you has against the other.

Refunds go back to the original payment method and usually appear within 5–10 business days. If a booked date turns out to be unavailable because of a technical clash, we refund the Buyer in full.

Chargebacks

If a Buyer disputes a payment with their bank (a chargeback), we will pause the related payout, may reverse any transfer already made to the Seller, and will respond to the dispute using the Order records. Please contact us before raising a chargeback. Most problems can be solved faster that way. Filing a chargeback in bad faith may lead to account suspension.

9. Messages between users

Use on-platform messages to agree the details of an Order, and keep a record of what you agree there. Don’t share passwords, card details or more personal information than you need to. We may review messages when we investigate a report, a dispute, suspected fraud or a breach of these Terms, or where the law requires it (see our Privacy Policy).

10. Your content and our licence

You keep ownership of the content you upload (profile details, images, listings, messages, brand names and links). You give us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, adapt (for example resize or crop) and share that content so we can run, improve and promote HereForAds. For example, we may show your public profile and listings in search results or share previews of them on social media. This licence ends when you delete the content or your account, except for copies we need to keep for legal, security or record-keeping reasons, and for content already shared with other users (such as messages).

You are responsible for your content and confirm you have all the rights needed to grant this licence.

Reporting infringing or illegal content

If you believe content on HereForAds infringes your rights or is illegal, contact us using the contact form or at hello@hereforads.com. Tell us the URL, what the problem is, and your contact details. We will review reports promptly and may remove content and suspend accounts. We may tell the user concerned why we have acted, unless the law or safety prevents us.

11. Our intellectual property

The HereForAds name, logo, website design and software belong to us or our licensors. You may not copy, modify, reverse engineer or use them except as allowed by these Terms or by law.

12. Suspension and closing accounts

We may remove content, pause listings, hold payouts, restrict features, or suspend or close an account, with or without notice, if we reasonably believe that a user has broken these Terms or the law, poses a risk to other users or to us, or if we are required to by law, a court, Stripe or another authority. Where appropriate and lawful, we will explain why. You can ask us to review a decision using the contact form.

You can stop using HereForAds at any time and ask us to close your account using the contact form. Orders already in progress must be completed or cancelled first. Sections that by their nature should continue after your account is closed (including fees owed, payout recovery, liability, indemnity and governing law) continue to apply.

13. Disclaimers

We provide HereForAds with reasonable care and skill. Apart from that, and to the extent the law allows, HereForAds is provided “as is” and “as available”. We don’t promise it will always be available, error-free or secure, and we may change, suspend or discontinue features. We don’t guarantee the identity, conduct, follower counts or reliability of any user, the quality, legality or results of any ad, or the actions of third-party platforms.

14. Our liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law, including your statutory rights as a consumer.

If you use HereForAds for business purposes (which includes all Sellers and business Buyers), to the extent the law allows:

we are not liable for any loss of profit, revenue, business, contracts, goodwill, data or anticipated savings, or for any indirect or consequential loss;
we are not liable for the acts, omissions, content or services of other users, or for disputes between users; and
our total liability to you arising out of or in connection with HereForAds, whether in contract, tort (including negligence) or otherwise, is limited to the greater of (a) the total fees we earned from your Orders in the 12 months before the claim arose, and (b) £100. This limit does not apply to our obligation to pay Sellers amounts that are properly due to them for completed Orders.

If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable, for losses caused by other users, or for business losses, because HereForAds is provided to consumers for private use only.

15. Indemnity

If you use HereForAds for business purposes, you agree to indemnify us against any claims, losses, fines, chargeback costs and reasonable legal fees arising from your content or listings, the ads you buy or deliver, your breach of these Terms, or your breach of any law or third-party rights. We will tell you about any such claim promptly and let you take part in its defence.

16. Changes to these Terms

We may update these Terms from time to time, for example to reflect changes in the law or in how HereForAds works. We will change the “Last updated” date above. For significant changes, we will give you reasonable notice (for example by email or a notice on the site) before they take effect. Changes don’t affect Orders already paid. If you don’t accept the changes, you can close your account before they apply. If you continue to use HereForAds after that, you accept the updated Terms.

17. General

Events outside our control: we are not responsible for delays or failures caused by events beyond our reasonable control, such as outages at hosting or payment providers, internet failures or actions by authorities.
Transfer: we may transfer our rights and obligations under these Terms to another organisation (for example if the business is transferred to a company). We will tell you if this happens and it will not reduce your rights. You may not transfer your rights without our written consent.
Third parties: nobody other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
Severability and waiver: if a court finds part of these Terms invalid, the rest stays in force. If we don’t enforce a right straight away, we can still enforce it later.
Entire agreement: these Terms, our Privacy Policy and any terms shown in a listing or at checkout are the whole agreement between you and us about HereForAds.
Language: these Terms are in English. If they are translated, the English version prevails.

18. Governing law and disputes

These Terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts. If you are a consumer living in the EU or elsewhere, you keep the protection of any mandatory consumer laws of your country. Before going to court, please contact us so we can try to resolve the issue informally.
